(General Terms and Conditions of Contract)

1. Preamble and Description of the Application

The Regystrum software application (hereinafter, “Application”) is owned by TS Mood S.r.l. a s.u. (registered office: Rome, Via Paolo Monelli 11 – VAT and Tax Code 15233741006) and is accessible via the Internet in Software as a Service (SaaS) mode. The Application is designed to manage the registration/logging, storage, and distribution/assignment of electronic documents and various types of files within an organization.

Regystrum is integrated with Google Workspace and Gmail, utilizing their single sign-on authentication procedure. To use the Application, the Client must have active Google Workspace or Gmail accounts.

Before using the Application, the Client must read and accept these General Terms and Conditions of Contract. The activation of an account (whether free or paid) implies tacit acceptance of these terms and conditions.

2. Intellectual Property

All intellectual property rights relating to the Application, including all its components and features, are and remain the exclusive property of TS Mood S.r.l.. Such rights include, but are not limited to: the software, trademarks, trade and industrial secrets, graphics and look & feel, structure, design, algorithms, data models, texts, and logos.

The Client agrees not to:

  • Access or attempt to access, without authorization, the systems, code, infrastructure, or components of the Application;
  • Use forensic analysis tools, sniffing, reverse engineering, or other techniques aimed at investigating, discovering, or deciphering the operation of the software;
  • Interfere with the operation of the Application, attempt to bypass security measures, or exploit vulnerabilities to gain unauthorized access to data or service functionalities.

TS Mood reserves all rights not expressly granted to the Client.

TS Mood acquires a free, unlimited, transferable, and perpetual license to use or incorporate into the Application any suggestions, improvement requests, or reports provided by the Client.

3. Use of the Application

Regystrum is intended for internal use by companies, freelancers, organizations, and public and private entities.

The following are prohibited:

  • Resale of the Application;
  • Granting access to third parties, even free of charge.

At the time of purchase, the Client must provide truthful and up-to-date information, including company name, tax data, address, phone number, and email.

The Client agrees to use the Application in compliance with applicable laws and these terms. In case of unlawful or abnormal use, TS Mood S.r.l. reserves the right to suspend or revoke account access.

TS Mood may publicly mention the Client as a user of Regystrum, unless otherwise requested via email at support@regystrum.com.

4. Support

The Application is designed for intuitive use, following the operational principles of Google Workspace and Gmail. The User Manual is available on the official website www.regystrum.com, and its reading is recommended, especially the sections “Installation and First Access” and “Settings and Customizations”.

The service does not include dedicated support or training. Requests for personalized assistance may be subject to a separate commercial offer.

Bug reports can be submitted via email at support@regystrum.com. Technical support will intervene on a best effort basis.

5. Amendments to the General Terms

TS Mood reserves the right to amend these General Terms and Conditions, notifying changes through its website and/or email. The Client accepts such changes, unless they exercise their right of withdrawal.

6. Application Architecture and Service Conditions

Regystrum is hosted on Google App Engine (part of Google Cloud Platform), whose terms of service apply (https://cloud.google.com/terms/).

Protocolled files are stored directly on the Client’s Google Drive. Storage exceeding Google’s predefined limits is at the Client’s expense.

TS Mood ensures that access to the Application code is restricted to authorized personnel for maintenance and updates.

7. Fees and Renewals

Use of Regystrum is subject to an annual subscription fee, except for specific promotions or free trial periods.

The subscription does not renew automatically. The Client must renew their subscription by paying the applicable fee at least seven (7) days before expiration.

TS Mood reserves the right to revoke free subscriptions and trials at any time without notice, as well as to refuse renewal for paid Clients.

8. Limitation of Liability

TS Mood is not responsible for disruptions caused by Gmail, Google Workspace, or Google App Engine (e.g., downtime, temporary errors, service unavailability). Any compensation due to the Client shall be as provided by Google’s policies.

In any case, TS Mood’s liability to the Client shall not exceed the amount paid for the annual subscription.

9. Applicable Law and Jurisdiction

This contract is governed exclusively by Italian law.

Any disputes regarding the interpretation or execution of these terms shall be subject to the exclusive jurisdiction of the Court of Rome.

10. Privacy

The processing of the Client’s personal data is carried out in compliance with applicable data protection regulations, including the Regulation (EU) 2016/679 (GDPR) and Legislative Decree 196/2003, as amended by Legislative Decree 101/2018.

TS Mood S.r.l. collects and processes the Client’s personal data solely for purposes related to the provision of the service, administrative management, and security of the Application.

To complete the activation of the Application, the Client must review and accept the Privacy Policy, available at https://www.regystrum.com/en/privacy-policy-app/.
